Terms of Use

These Terms of Use ("Terms") govern your access to and use of MerchandiserOS, an AI operating system for apparel merchandising provided by Xelerate Business Solutions ("we", "us", "our") of New Cairo, Egypt. By creating an account, starting a trial, or using the service, you agree to these Terms. If you are using MerchandiserOS on behalf of a company, you confirm you have authority to bind that company.

1. The Service

MerchandiserOS is a cloud-based platform that helps apparel factories, brands, and buying agents manage merchandising operations — including orders, styles and tech packs, materials, suppliers, costing and quotations, production planning, and quality — with AI assistance for drafting, extraction, and estimation. We may add, change, or remove features as the product evolves.

2. Free trial

We offer a 14-day free trial with no payment card required. During the trial you may explore the service. The trial converts to a paid subscription only if you choose to subscribe; if you do not, your access simply ends at the close of the trial.

3. Accounts and security

You are responsible for the login credentials of your workspace and its users. Keep your credentials safe, do not share them, and notify us promptly of any unauthorised use. You are responsible for the activity that occurs under your account and for the users you invite.

4. Subscription and billing

• MerchandiserOS is offered on a prepaid subscription basis.
• Pricing is quoted per customer based on your needs; there is no publicly listed price.
• Your free trial converts to a paid subscription only if you actively choose to subscribe.
• Fees are payable in advance for the subscription period agreed with you. Unless otherwise agreed, prepaid fees are non-refundable.

5. Your data and content

You retain all rights to the business data and content you enter into MerchandiserOS. You grant us a limited, worldwide licence to host, store, process, and display that data solely as needed to operate and provide the service to you (including running the AI tasks you trigger, as described in our Privacy Policy). You are responsible for having the necessary rights to the data you upload.

6. Acceptable use

You agree not to:

• Use the service for any unlawful, infringing, harmful, or abusive purpose.
• Attempt to reverse-engineer, copy, resell, or create a competing product from the service.
• Interfere with, overload, or attempt to gain unauthorised access to the service or its infrastructure.
• Upload malware, or data you do not have the right to use.

We may suspend or terminate access that violates these Terms.

7. Integrations and third parties

You may choose to connect third-party services (for example, Garment.io shop-floor data or email monitoring). Those services are provided by their own operators and governed by their own terms and privacy practices. We are not responsible or liable for third-party services, their availability, or their handling of your data. You are responsible for any credentials you connect.

8. AI output

MerchandiserOS uses AI to help you work. Extractions, drafts, cost estimates, and assistant answers are drafts and estimates that you must review before relying on them or sending them. AI output can contain errors or omissions. Nothing is sent to a buyer, supplier, or third party automatically — you remain in control and responsible for what you approve and send. We do not warrant the accuracy of AI output, and you should verify important results.

9. Intellectual property

The MerchandiserOS platform, software, design, and brand are and remain the property of Xelerate Business Solutions and its licensors. These Terms do not grant you any ownership of the platform — only a limited right to use it during your subscription. You may not use our name, logo, or brand without our written permission.

10. Availability

We aim for high uptime and reliable performance, but we do not guarantee uninterrupted or error-free service. The service may be temporarily unavailable for maintenance, updates, or reasons beyond our control.

11. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

12. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to the service or these Terms is limited to the amount of fees you paid to us in the twelve (12) months immediately before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

13. Termination

You may stop using the service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or misuse the service. On termination, your right to use the service ends; data handling on closure follows our Privacy Policy.

14. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "last updated" date above and, where appropriate, notify you through the service. Your continued use after changes take effect means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the Arab Republic of Egypt, and any dispute is subject to the exclusive jurisdiction of the courts of Cairo.
