Terms of Use

1. Agreement
These Terms of Use (“Terms”) govern your access to and use of the MerchandiserOS application and website (“the Service”), provided by MerchandiserOS (“we”, “us”). By accessing or using the Service, you agree to these Terms. If you are using the Service for an organisation, you confirm you are authorised to accept these Terms on its behalf.
2. The Service
MerchandiserOS is an operations platform for apparel factories and brands. The Service is currently offered as an early-access / research preview and is provided on an “as is” and “as available” basis; features may change, and availability is not guaranteed.
3. Accounts & eligibility
The Service is for business use by people aged 16 or over. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account. Tell us promptly of any unauthorised use.
4. Acceptable use
You agree not to:
- use the Service unlawfully, or to infringe anyone’s rights;
- upload content you have no right to use, or that contains malware;
- attempt to gain unauthorised access, disrupt, reverse-engineer, or probe the Service or its security;
- resell or provide the Service to third parties except as expressly permitted.
5. Your data & content
You retain ownership of the business data and content you submit to the Service. You grant us a limited licence to host, process, and display that content solely to provide and improve the Service for you, including the AI and email features you choose to use. You are responsible for having the necessary rights and consents for the data you submit, including any third-party personal data.
6. Third-party integrations
If you connect third-party services (for example Google / Gmail), your use of those services is also subject to their own terms, and you authorise us to access them on your behalf as described in our Privacy Policy. You can disconnect them at any time.
7. AI features
AI-generated output (such as extracted tech-pack data or draft messages) is a suggestion to assist you and may be inaccurate or incomplete. You are responsible for reviewing it before relying on, sending, or committing it. AI output is not professional, legal, financial, or compliance advice.
8. Fees
During the early-access / demo period the Service may be provided at no charge or at a stated founding rate. Any paid plans, prices, and billing terms will be presented to you before they apply, and your continued use after that constitutes acceptance of them.
9. Availability & no warranty
We aim to keep the Service running but do not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, MerchandiserOS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Service. Nothing in these Terms excludes liability that cannot be excluded by law.
11. Indemnity
You agree to indemnify and hold us harmless from claims arising out of your content or your misuse of the Service in breach of these Terms or applicable law.
12. Confidentiality
We treat your business data as confidential and use it only to provide the Service, as described in the Privacy Policy. We will not disclose it except to our service providers under confidentiality terms, or where required by law.
13. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or other users. On termination we will, on request and subject to legal obligations, make your data available for export for a reasonable period and then delete it.
14. Changes to these Terms
We may update these Terms; we will change the “Last updated” date above and, for material changes, give reasonable notice. Continued use after changes take effect means you accept them.
15. Governing law
These Terms are governed by the laws of the Arab Republic of Egypt, and the courts of Egypt have jurisdiction, unless mandatory local law in your place of residence provides otherwise.
